1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between CodeLadder Technologies Private Limited ("Company", "we", "us", "our"), registered under the laws of India, and the school, institution, or individual ("School", "you", "your") accessing or using the AiraNexus school management platform and associated services ("Service").
By clicking "I Agree" or by accessing or using the Service, you confirm that:
- You are a duly authorised representative of the school or institution
- Your school has the legal capacity to enter into this agreement
- You have read, understood, and agree to be bound by these Terms
- You have read and agree to our Privacy Policy at https://campus.airanexus.in/privacy
If you do not agree to these Terms, you must not access or use the Service.
2. Service Description
AiraNexus is a cloud-based school management platform ("Platform") provided as a Software-as-a-Service (SaaS) solution. The Platform includes, depending on your subscription plan:
- Student admissions, profiles, and academic records management
- Class, section, and academic year configuration
- Attendance tracking (manual and automated)
- Fee structure, collection, and receipt management
- Examination scheduling and marks / report card management
- Staff management, payroll, and HRM modules
- Parent communication, notifications, and mobile app access
- Admissions lead management (CRM)
- Analytics, reports, and exportable data
- Administrative tools including role-based access control
3. Accounts & Access
3.1 School Administrator Account
One primary School Administrator account is provided per subscription. The school is responsible for all activities that occur under its accounts, including those of teachers, staff, and parent accounts linked to the school's tenant.
3.2 Account Security
- You must maintain the confidentiality of all login credentials
- Immediately notify us at support@airanexus.in of any unauthorised access
- Do not share admin credentials across multiple individuals — create separate staff accounts
- We recommend enabling two-factor authentication (2FA) for all administrator accounts
3.3 User Accounts Created by the School
- All users are given access only to data relevant to their role
- Parent accounts are linked only to their own student(s)
- Deactivated staff are promptly removed or deactivated from the Platform
- You have obtained necessary consent from staff and parents for data processing
4. Subscriptions & Billing
4.1 Subscription Plans
AiraNexus is offered on annual subscription plans based on the number of students and selected modules. Current plan pricing is available at https://campus.airanexus.in/pricing. Prices are in Indian Rupees (INR) and exclusive of applicable GST.
4.2 Payment Terms
- Subscription fees are due in advance for the subscription period (annual)
- Accepted methods: NEFT/RTGS bank transfer, UPI, Razorpay (cards/netbanking)
- GST at the applicable rate will be added to all invoices
- A formal GST invoice will be issued within 3 working days of payment
- Late payment beyond 15 days may result in access restrictions
4.3 Renewals
Subscriptions do not auto-renew unless you explicitly enable auto-renewal. We send renewal reminders 60, 30, and 7 days before expiry. Lapsed subscriptions retain data in read-only mode for 90 days before deletion.
4.4 Refunds
- No refunds for partial months or unused annual subscription after onboarding
- Full refund available within 7 days of activation if no student data has been entered
- Refund requests must be submitted in writing to legal@airanexus.in
- Refunds are processed within 10 working days to the original payment method
5. School Data & Ownership
5.1 Your Data Belongs to You
All data entered into the Platform by or on behalf of your school ("School Data"), including student records, attendance, fees, and staff information, remains the exclusive property of your school. We do not claim any ownership rights over School Data.
5.2 Our Processing Role
We process School Data solely as a Data Processor on your behalf, under the terms of our Data Processing Agreement (DPA), incorporated by reference into these Terms. The school acts as the Data Fiduciary/Controller under DPDPA 2023.
5.3 Data Export
- You may export School Data at any time in CSV or JSON formats from the Platform
- Upon subscription termination, we provide a full data export within 15 working days
- After 90 days post-termination, School Data is securely and permanently deleted
6. Acceptable Use Policy
You agree not to use the Service to:
- Upload or distribute any unlawful, defamatory, obscene, or harmful content
- Violate any applicable law or regulation, including the IT Act 2000 and IPC provisions
- Collect or store data beyond what is necessary for legitimate school operations
- Attempt to gain unauthorised access to the Platform, other tenants' data, or our infrastructure
- Conduct penetration testing or security scanning without prior written consent
- Use the Platform's student / parent data for any purpose beyond school management
- Reverse engineer, decompile, or disassemble any part of the Platform
- Introduce malware, viruses, or any malicious code
- Sublicense, resell, or provide Platform access to third parties without written authorisation
7. Intellectual Property
7.1 Our Property
The Platform, including all software, algorithms, interfaces, logos, and trademarks, is the exclusive intellectual property of CodeLadder Technologies Private Limited, protected under Indian copyright law. You receive a limited, non-exclusive, non-transferable licence to use the Platform solely for internal school management during the subscription period.
7.2 Feedback
Feedback or feature requests you provide may be used by us to improve the Platform without any obligation to compensate you.
7.3 School Branding
You grant us a limited licence to use your school name and logo to provide the Service. We will not use your school name in marketing without explicit written consent.

9. Warranties & Disclaimers
We warrant that: (a) we have the right to provide the Service; (b) we will use commercially reasonable efforts to maintain Platform security; and (c) the Service will perform materially as described in our documentation.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
To the maximum extent permitted by applicable law, our total cumulative liability to you for all claims shall not exceed the total subscription fees paid by you in the 12 months immediately preceding the claim.
We shall not be liable for: (a) indirect, incidental, or consequential damages; (b) loss of profits, data, goodwill, or business opportunity; (c) damages from third-party services (payment gateways, SMS providers, etc.); (d) service interruptions from force majeure events.
11. Indemnification
You agree to indemnify and hold harmless CodeLadder Technologies Private Limited and its officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from:
- Your breach of these Terms or our Acceptable Use Policy
- Your school's violation of any applicable law or third-party rights
- Inaccurate or unlawful data entered into the Platform by your school or its users
- Your school's failure to obtain necessary consent from students, parents, or staff
12. Termination
12.1 By You
You may terminate your subscription at the end of the current subscription period by providing written notice to legal@airanexus.in at least 30 days before the renewal date.
12.2 By Us
We may suspend or terminate your access immediately if:
- You materially breach these Terms and fail to remedy it within 14 days of written notice
- You violate the Acceptable Use Policy (Section 6)
- Payment is overdue by more than 30 days
- We are required to do so by law or court order
12.3 Effect of Termination
Upon termination, access is revoked. We retain your School Data for 90 days (read-only export available), after which it is permanently deleted. Sections 5, 7, 9–11, and 13 survive termination.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of India, including the Indian Contract Act 1872, the Information Technology Act 2000, the Consumer Protection Act 2019 (where applicable), and the Digital Personal Data Protection Act 2023.
Disputes shall first be resolved through good-faith negotiation for 30 days. If unresolved, disputes shall be subject to binding arbitration under the Arbitration and Conciliation Act 1996. The seat of arbitration shall be India. Language: English.
14. Changes to Terms
When we make material changes to these Terms, we will:
- Update the "Last Updated" date on this page
- Send an email notification to the School's registered administrator
- Display a notice in the Platform dashboard for at least 14 days
